Terms
- "You" ,"user", or "value creator": A person or organization that applies to, registers for, or uses the service and/or products by Senzoo.net website to collect money.
- "Contributor” or "Customer”: A user that sends money to value creators via the service and/or products by Senzoo.net.
- "Service” or "Senzoo”: The service offered by SmashBooth, Inc, which includes everything on the http://senzoo.net/ as well as the widgets provided in the website.
- Site: the website of http://senzoo.net.
- "Value” or "Content”: The content that is created and provided by you, which is accessible online by customer. Content includes online service, multimedia and text content such as blog entries and news articles. Senzoo Script: An embed tag that you create in a member page and use in your website.
- "Notification window”: A view component that Senzoo Script shows on top of a web page when it is called. Contribution: funds that the contributor sends to you through the service by the agent.
- Payment instrument: The Paypal, Amazon Payments and Google Checkout service are all payment instruments that are registered by the user to enable the processing of Payment Transactions.
- Payment Transaction: The processing of one ore more payments through the service that is made by the contributor using the payment instrument.
Acceptance of Terms
Senzoo is an online service that lets you collect money from visitors to your website and/or customers of content you provide. To sign up as a member of Senzoo, you should review this entire Terms of Service (the “Terms”) before you decided to accept it and complete the registration process. The term also incorporates the Privacy Policy. By setting up a Senzoo account or by using the service, you agree to the term. If you do not agree to be bound by the terms, you should not use Senzoo. The service is available to only to individuals who are at least 18 years old, and you must represent and warrant that if you are an individual, you are of legal age to form a binding contract, and that all registration information you submit is accurate and truthful. SmashBooth, Inc. may refuse to offer the Service to any individual or entity and change its eligibility criteria at any time in its sole discretion. This provision is void where prohibited by law and the right to access the Service is revoked in such jurisdictions.
Modification of Terms
SmashBooth, Inc. may modify or replace any of the terms, or change, suspend, or discontinue the service at any time by posting a notice on the site or by notifying you via email. SmashBooth, Inc. may also set limits on certain features and services or restrict your access to parts or all of the service without notice or liability. Your continued use of the service indicates that you have accepted of the amended terms of service agreement.
The Service
Senzoo, the service offered by SmashBooth,Inc, allows any value creators to sign up the service. The users of Senzoo can use the service to collect money from customers who visit your website. The service is available to all individuals and entities age 18 and over who agree by these terms of service. It may not be used for purposes not in accordance to local law.
By using the service offered by SmashBooth Inc, you indicate that you under stand and agree to the following: (a) During member registration process, you must submit a valid e-mail address and member name, and select a password; (b) Before using the service, you must submit account information of the agency, such as a registered e-mail address, user id and secret key provided by the agency; (c) You are responsible for maintaining the confidentiality of your member name and password and all uses of your account, whether or not you have intended to authorize such use; (d) You agree to notify SmashBooth, Inc. immediately of any unauthorized use of your account, and (e) You are at least 18 years old. SmashBooth, Inc. will not be held liable for any loss or damage due to non-compliance. In addition, The service will take reasonably security precautions when using the internet, telephone or other means to transport date or other communications, but expressly disclaims any and all liability for the accessing of any such data communications by unauthorized persons or entities. Furthermore, you understand and agree that information of activities of all users will be collected, aggregated and used to enhance service quality of Senzoo. By using Senzoo, you indicate that you understand and agree that, unless explicitly stated, SmashBooth, Inc. does not control, verify, or endorse any of the information contained on or in the Senzoo, outside of official documentation.
Registration
As a condition to using the Service, the user is required to register with Senzoo and select a username and password. The user shall provide SmashBooth, Inc. with accurate, complete, and updated registration information including e-mail address. In addition, the user’s account information of the agency, such as a registered e-mail address and secret key provided by the agency, will be also required in order to use the service. Failure to do so shall constitute a breach of this Agreement. SmashBooth, Inc. uses your account information of the agency only on purpose of setting up the service for you and does not share or expose information to third parties.
You shall not (a) select or use as a username or domain a name of another person with the intent to impersonate that person; (b) select or use as a username or domain a name subject to any rights of a person other than you without appropriate authorization; or (c) use as a username or domain a name that is otherwise offensive, vulgar or obscene. SmashBooth, Inc. reserves the right to refuse registration of, or cancel a username in its sole discretion.
Payments and Fees
Senzoo acts as an intermediary service that facilitates the contribution transaction. The Contributor sends money to you directly through service provided by the agent such as PayPal. Transaction occurs every time you receive the contribution.
Joining and using Senzoo is completely free. However, SmashBooth, Inc. may change the fees and charges in effect, or add new fees and charges from time to time. We may also choose to temporarily change the fees for the new or present service. Changes to that policy are effective after we provide you with notice by posting the changes on the Site or sending an email. However, we will give you advance notice of these changes by sending an email.
You are responsible for paying all fees and applicable taxes associated with your use of the site.
The contributor expect or demand any good or service from the user as the payment transaction in no way constitutes payment for a good or service. The agent, SmashBooth, Inc. shall not be liable for your interactions with any organizations and/or individuals found on or through the Senzoo after funds have been transferred. In addition, SmashBooth, Inc. is not responsible for any uses of the proceeds by the beneficiary and acts only as an intermediary to collect contributions from a group of participants for a beneficiary. This includes, but is not limited to, delivery of goods and services through Senzoo, and any other terms, conditions, warranties or representations associated with such dealings.
By using our service, you agree that SmashBooth, Inc. is not responsible for any damage or loss incurred as a result of any such dealings. SmashBooth, Inc. is under no obligation to become involved in litigation or disputes between the contributor and the user, or between Senzoo members and any third party. If the dispute occurs, you release SmashBooth,, Inc., its directors, officers, employees, agents and successors from all claims, damages and demands – known or unknown, suspected or unsuspected, disclosed or undisclosed – arising out of or in any way related to such disputes and our service. If you attempt to do so, (i) you shall pay all costs and attorneys' fees of SmashBooth, Inc. and affiliates and shall provide indemnification as set forth below, and (ii) the jurisdiction for any such litigation or dispute shall be limited as set forth below. However, nothing in these Terms of Service shall constitute a waiver of any rights, claims or defenses that you may have with respect to a Payment Transaction under the contributor’s card issuer agreement, the card association rules or applicable laws, such as the United States federal Truth in Lending Act or the Electronic Fund Transfer Act.
SmashBooth, Inc. is not responsible for maintaining a Payment Transaction history and is not responsible for sending invoices of any sort. You agree that you will not involve SmashBooth, Inc. in any litigation or other dispute arising out of or related to any transaction, agreement, or arrangement with any Senzoo user, other contributors, or other third party in connection with the Senzoo.
Refunds and Returns
SmashBooth, Inc. does not involve in refunds and returns since a contributor directly sends payment to a user's account via PayPal, Amazon Payments, or Google Checkout.
Indemnity
By accepting these Terms of Service, you agree to indemnify and otherwise hold harmless SmashBooth, Inc, Senzoo, its officers, employees, agents, subsidiaries, affiliates and other partners from any direct, indirect, incidental, special, consequential or exemplary damages resulting from i) your use of Senzoo; ii) unauthorized access to or alteration of your communications with or through Senzoo, or iii) any other matter relating to Senzoo. Any business transactions which may arise between users from their use of Senzoo are the sole responsibility of the users involved, and we disclaim any and all responsibility for such transaction
Termination of Service
Either party may terminate the Services at any time by notifying the other party by any means. SmashBooth, Inc. may also terminate or suspend any and all Services and access to the Site immediately, without prior notice or liability, if the User breaches any of the terms or conditions of this Agreement. Upon termination of the User’s account, the User’s right to use the Services, access the Site, and any Content will immediately cease. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, and limitations of liability. Termination of Your access to and use of the Site and the Services shall not relieve Subscriber of any obligations arising or accruing prior to such termination or limit any liability which the User otherwise may have to Senzoo or the Site, including without limitation any indemnification obligations contained herein.
Privacy
Please review our Privacy Policy, which governs the use of personal information on the Site and to which the User agrees to be bound as a user of the Site.
Disclaimer
While we have the right to monitor activity and content associated with Senzoo, we are not obligated to do so. We do not guarantee the accuracy, integrity or quality of any content submitted by the User to Senzoo. Because community standards vary and individuals sometimes choose not to comply with our policies and practices, in the process of using Senzoo, you may be exposed to content that you find offensive or objectionable. You can contact our Customer Service Department to let us know of content that you find objectionable. We may investigate the complaints and violations of our policies that come to our attention and may take any action that we believe is appropriate, including, but not limited to issuing warnings, removing the content or terminating accounts and/or subscriptions. We also, however, reserve the right not to take any action. Under no circumstances will we be liable in any way for any content, including, but not limited to any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of, access to, or denial of access to any content on the Site.
Limitation of Liability
In no event shall SmashBooth, Inc., its directors, officers, employees, shareholders or members be liable in respect to the Site or the Service for (a) any indirect, incidental, punitive, or consequential damages of any kind whatsoever; (b) damages for loss of use, profits, data, images or the Content; (c) damages for unauthorized use, non-performance of the Site, errors or omissions; or (d) damages related to downloading or posting the Content. Collective liability of Senzoo and SmashBooth, Inc. under this agreement shall be limited to three hundred United States Dollars. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations and exclusions many not apply to the User.
Severability
The Terms of Use are the entire agreement between you and Company with respect to the Service and use of the Site, and supersede all prior or contemporaneous communications and proposals (whether oral, written or electronic) between you and Company with respect to the Site. If any provision of the Terms of Use is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms of Use will otherwise remain in full force and effect and enforceable. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.
Miscellaneous
Accessing and Use of the Service is prohibited from areas where such Content is illegal. Otherwise you do so at your own initiative and responsible for compliance with local laws. Senzoo is not a chartered depository institution; Senzoo only processes payment transactions for the customer’s payment action on behalf of users. Money held by Senzoo or its service providers in connection with the processing of payment transactions are not deposit obligations of the user and are not insured for the benefit of the user by the Federal Deposit Insurance Corporation or any other governmental agency.
